Job Purpose

The Associate Legal Counsel will provide legal advice, contribute to the analysis of commercial/corporate issue and identify and mitigate legal risks related to the Company’s business and daily operations in China. This role will report to the Senior Counsel for China, and work closely with the business units to structure, draft and negotiate legal arrangements, implement the compliance programs, support the corporate governance function (board, shareholder meetings) and solve regulatory matters.

Responsibility

  • Apply fundamental legal concepts, practices and procedures;
  • Advise on a variety of moderately complex legal issues, trends and risks impacting operational practices and relationships with outside parties;
  • Research, analyze and determine effects of statutes, regulations and judicial and regulatory opinions on business practices and procedures;
  • Analyze, revise, edit, approve, create, prepare and/or negotiate form or stand-alone contracts to reflect current or changing business or legal needs, either in Chinese or in bilingual;
  • Assess risks associated with contract provisions; provide alternative contract language or provisions to allow for appropriate development of business practices & procedures.
  • Handle corporate governance matters such as the preparation of corporate governance related documentations, assist in the company license change and update for the entities within China.

Qualification

Basic Qualifications Required:

  • Law degree from a leading law school in China; degree from an oversea law school would be a plus, not a must;
  • 1-3 year PQE in corporate commercial law from a reputable law firm or corporate environment; experience in service warranty, insurance, retail, and automotive industry would be an asset;
  • Clear, effective oral and written communications skills in Chinese and English;
  • Passed PRC bar examination.

Work Arrangement

This position is based in Shanghai office, and in hybrid model (onsite and virtual)
