Overall purpose of job
Generally supporting the businesses of Bunge entities in South East Asia, by providing solution-oriented and timely legal assistance. Scope of work includes preparing, reviewing and negotiating legal documentation, providing legal and regulatory advice, managing legal risks and liaising with external counsel. This role also supports all the board and corporate secretarial matters for the Bunge entities in South East Asia.
Main activities/tasks
Providing assistance on all the following:
Providing legal and regulatory advice on, and reviewing, drafting and negotiating a wide range of, commercial documents (including confidentiality agreement, agency agreement, distribution agreement etc).
Developing close working relationships with the business in identifying and managing legal risks with internal and external counterparts, and working with the Legal team to develop strategies to support the achievement of commercial objectives while managing and minimising legal risks.
Engaging and managing external counsel on legal opinions and all related expenses.
Handling of all corporate secretarial matters of Bunge entities in South East Asia, including preparing company resolutions and arrange due execution by directors; and serve as primary interface with corporate secretarial services providers to ensure statutory compliance as well as in dealing with corporate and other statutory affairs.
Conducting legal research as required and organising meetings and trainings for the Legal department.
Preparing monthly/quarterly/annually reporting requirements (including Organization Chart, Legal Data Sheets, Litigation Reports, Monthly Letters, and etc.).
Maintaining the official and legal documents for good corporate governance, and keeping good records of various legal and corporate databases.
Working Relationships and Contacts
The Legal Counsel is responsible for maintaining regular contact with external counsel and relevant stakeholders to keep up to date with the latest development and changes in the law and regulation and the legal market.
Key relationships include:
External counsel
Corporate Secretarial services providers
Business contact (distributors and originators)
Internal support departments (HR, Finance, Tax, Treasury, Corporate Legal)
Desired Qualities/Skills:
Law qualification under Singapore/ Malaysia/English and New York law.
At least 2 years’ legal experience gained from a major law firm, financial institution or multinational corporation.
Proficiency in other languages (besides English) will be viewed favourably although not mandatory.
Strong verbal and written communications skills with ability to work under a diverse and multicultural environment.
Excellent organisation skills, with ability to adapt to changing priorities and deadlines.
Good business sense and strong drafting skills.
Insatiable appetite for continuous learning and development.
A team player with high professional integrity.
