Your new challenge!

As the Legal Associate, you are responsible for to provide commercially focussed and pragmatic legal advice to support the establishment and growth of our Australian Cardiology businesses.

Important note: This role will not commence until 1 July 2022, and is contingent on the finalisation of the Cardiology and Sleep separation process.

What You’ll Do

Legal Operations-

• Supporting the development and implementation of legal processes (both transactional and operational) in the Australian business.
• Supporting business development initiatives in Australia including:
• M&A: deal management, preparing and negotiating term sheets, overseeing due diligence, negotiating transaction documents and managing completion.
• Greenfields/brownfields: deal structuring, obtaining regulatory consents, negotiating term sheets and other transaction documents.
• Service development: reviewing and negotiating major contracts, creating the legal framework for new service expansions.

Company Secretarial Support

• Support the Head of Legal to schedule board meetings, compile board packs, and general correspondence and liason for board members
• Support the Head of legal to Report as required under the relevant legislation or body (Corporations Act, ASIC)
• Support the Head of Legal in managing of shareholder plans (Talent Share Plan, Management Share Plan, Management Equity Plan, Management Incentive Plan and any future share plans) and management of any share transactions

Who You Are

• Bachelor of Laws (LLB) at a minimum.
• Qualified to practice as an Australian Legal Practitioner.
• At least 3 years PQE with private practice experience in Australia
• Corporate M&A experience desirable.
